Terms of Service

These Terms of Service ("Terms") are a contract between you ("you", "Customer") and Zenith Intelligence Technologies, operating as ZI² Systems ("ZI²", "we", "us"), the operator of ZI² Discover (the "Service"). By creating an account, clicking "I agree", or using the Service, you accept these Terms. If you are entering into these Terms for a company, you confirm that you have authority to bind it.

2. Acceptance and changes

You accept these Terms when you sign up, log in, or pay for a subscription. We may update these Terms from time to time. If a change is material, we will give you at least 30 days' notice by email and by posting an updated version. Continued use after the effective date of a change constitutes acceptance. If you do not agree, you must stop using the Service and may cancel under section 13.

3. The Service

ZI² Discover scans Verified Sites for SEO, schema, AI engine discoverability, Core Web Vitals, accessibility, security headers, internationalization, and E-E-A-T signals. The Service runs polite, robots.txt-respecting crawls; calls a defined set of AI engines to test whether your content is cited; reports findings; and, where you enable it, ships fixes back to your stack (snippet, pull request, or CMS API edit).

The Service is delivered as software-as-a-service. We may add, remove, or change features. We will not materially degrade core scanning and reporting features on a paid plan within a billing cycle without giving you the option to cancel and receive a prorated refund.

4. Accounts

To use the Service you must create an account. You agree to provide accurate information, keep it current, and protect your credentials. You are responsible for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

You must be at least 18 years old and able to enter into a binding contract. The Service is not directed at children.

5. Acceptable use

Your use of the Service is governed by the AUP. The AUP prohibits, among other things: scanning sites you do not own or have explicit written permission to scan; abusing AI probe quotas; attempting to circumvent multi-tenant isolation; reselling the Service without authorization; and using the Service for illegal activity. Violations may result in suspension or termination without refund.

6. Subscriptions, billing, and payment

6.1 Plans

Paid plans are: Starter at USD 49 per month (1 Verified Site), Pro at USD 199 per month (5 Verified Sites), Business at USD 799 per month (25 Verified Sites), and Enterprise by contracted order form. Per-plan scan, page, and AI probe limits are published on the pricing page and may be adjusted with 30 days' notice.

6.2 Billing cycle

Subscriptions are billed monthly in advance from the date you subscribe. Subscriptions renew automatically each month unless you cancel before the renewal date.

6.3 Upgrades, downgrades, and proration

Upgrades take effect immediately and are prorated to the remainder of the current billing cycle. Downgrades take effect at the start of the next billing cycle. Usage in excess of plan limits may be throttled or billed at published overage rates after notice.

6.4 Payment processors and currency

We accept payment through Stripe (default, USD and EUR), Paystack (NGN, GHS, ZAR, KES, EGP), and Flutterwave (XOF and other supported African currencies). You authorize the relevant processor to charge your payment method on each renewal. Processors hold and process payment card details under their own terms; ZI² does not store full card numbers.

6.5 Taxes

Prices are exclusive of taxes. You are responsible for all applicable sales, use, VAT, GST, or other taxes, except those based on our net income. Where we are required to collect tax, we will add it to your invoice.

6.6 Failed payments and cure period

If a charge fails, we will retry and notify you. You have 14 days from the first failure to cure the failed payment. During the cure period we may downgrade or rate-limit access. After 14 days without cure, we may suspend the account; after 30 days, we may terminate it under section 13.

6.7 Refunds

Subscriptions are non-refundable except as follows: if you cancel within 30 days of a charge and have not consumed more than 10% of that cycle's scan or AI probe quota, we will refund the unused portion on request to [email protected]. We do not refund fees attributable to AUP violations or to usage already consumed.

7. Customer Data and ownership

You own Customer Data. We claim no ownership over your site content, scan results, or any artifact derived from your Verified Sites.

You grant ZI² a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and back up Customer Data solely to provide and improve the Service. This license ends when Customer Data is deleted under section 13.5.

You represent that you have all rights necessary to grant this license and to authorize the scanning of each Verified Site.

8. AI provider passthrough

The Service queries third-party AI engines on your behalf to determine whether your content is cited. Queries you configure (and content the Service derives from your Verified Sites to phrase those queries) are forwarded to the following providers, each as an independent controller for that interaction: Anthropic (Claude API), OpenAI (ChatGPT Browse), Google (Gemini, SerpAPI for Google AI Overview), Microsoft (Bing/Copilot), and Perplexity.

By using the AI probe feature you instruct ZI² to make these calls. Each provider's terms and privacy notices apply to the data they receive. You should not submit, through AI probes, content that you cannot lawfully share with those providers. We minimize what we send and never forward raw HTML to agents — only structured signals — but you are responsible for the legality of the queries you configure.

9. Service availability

We target high availability but do not guarantee uninterrupted Service. Scheduled maintenance, third-party outages (AI provider rate limits, payment processor downtime, DNS, CDN), and force majeure events may cause interruptions. Enterprise order forms may include a contracted SLA with service credits; absent such an order, no SLA applies.

10. Warranties and disclaimers

We warrant that we will provide the Service with reasonable care and skill and in line with our published documentation.

EXCEPT FOR THE EXPRESS WARRANTY ABOVE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI ENGINE RESPONSES. AI engine results are inherently probabilistic and change over time. We do not warrant any specific ranking, citation, traffic, or business outcome.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of revenue, profits, goodwill, or data, even if advised of the possibility.

Each party's total aggregate liability arising out of or related to these Terms is capped at the fees you paid to ZI² in the 12 months preceding the event giving rise to the claim. This cap does not apply to: (a) your payment obligations; (b) breach of the AUP; (c) infringement of the other party's intellectual property; or (d) liability that cannot be limited by law (such as for death, personal injury, or fraud).

12. Indemnification

You will defend, indemnify, and hold harmless ZI² and its officers, employees, and agents from and against any third-party claim, loss, or expense (including reasonable legal fees) arising out of: (a) Customer Data, including any claim that scanning a site you submitted infringed a third party's rights; (b) your violation of these Terms or the AUP; or (c) your misuse of AI probes (for example, submitting unlawful queries).

We will defend you against any third-party claim that your authorized use of the Service infringes a third party's intellectual property rights, and will pay the resulting damages or settlement, provided you give us prompt notice, sole control of the defense, and reasonable cooperation.

13. Term, cancellation, suspension, and termination

13.1 Term

These Terms apply from your first use of the Service until termination.

13.2 Cancellation by you

You may cancel any subscription at any time from your dashboard or by emailing [email protected]. Cancellation takes effect at the end of the current billing cycle; you retain access until then.

13.3 Termination for convenience

Either party may terminate a subscription on 30 days' written notice.

13.4 Termination for cause and suspension

We may suspend or terminate immediately for: material breach of these Terms or the AUP that is not cured within 14 days of notice (or immediately for breaches that cannot be cured, such as scanning third-party sites without authorization); non-payment beyond the cure period in section 6.6; legal compulsion; or risk to the security or integrity of the Service. We may suspend with shorter notice to stop an active abuse.

13.5 Effect of termination and data deletion

On termination, you stop using the Service and we stop billing you. Customer Data is retained for 90 days after termination so you can export it on request, then hard-deleted, except: (a) audit-log records retained for 7 years for legal, security, and tax purposes; and (b) anonymized, aggregated statistics that cannot be linked back to you.

14. Survival

The following survive termination: sections 7 (Customer Data), 10 (Warranties), 11 (Liability), 12 (Indemnification), 13.5 (Data deletion), 15 (Confidentiality), 16 (Governing law), 17 (Dispute resolution), and any other provision that by its nature should survive.

15. Confidentiality

Each party may receive non-public information of the other (including business plans, technical details, and customer data) that is marked confidential or that a reasonable person would understand to be confidential. Each party will protect the other's confidential information with the same care it uses for its own (and no less than reasonable care) and will not use or disclose it except to perform under these Terms.

16. Governing law and venue

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive venue for any dispute that proceeds to court is Berlin, Germany, subject to section 17.

17. Dispute resolution

Before filing a claim, the parties will try to resolve the dispute informally for at least 30 days after written notice describing the dispute. If informal resolution fails, the dispute will be finally settled by binding arbitration under the rules of the German Arbitration Institute (DIS), with one arbitrator, seated in Berlin, conducted in English. Either party may seek injunctive relief in a competent court to protect intellectual property or confidential information.

Consumers retain any rights to bring proceedings in the courts of the EU member state of their habitual residence that cannot be waived under applicable law.

18. Modifications

We will give you at least 30 days' notice by email and on this page for any material change to these Terms. Non-material changes (typos, clarifications, link updates) may be made without notice.

19. Notices

Notices to you may be sent by email to the address on your account or by posting on the Service. Notices to us must be sent to [email protected].

20. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets, on notice.

21. Entire agreement

These Terms, together with the AUP, the Privacy Policy, the Cookie Policy, the Security overview, the DMCA Policy, and any Order, are the entire agreement between you and ZI² for the Service, and supersede prior agreements on this subject. If a court finds any provision unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
